Terms of Use

These Terms of Use constitute a legally binding agreement between you and Narthx ("we," "us," or "our") governing your access to and use of the Narthx platform and any related services (collectively, the "Services").

Access to Narthx is by invitation only, administered through a church or organizational account ("tenant"). Your use is also subject to the policies of your tenant administrator.

Narthx provides an internal staff operations platform for churches and similar organizations, including tools for meeting management, approval workflows, and project management. The Services integrate with third-party platforms including Google Workspace and Planning Center Online at the direction of tenant administrators.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with reasonable notice.

The Services, including all software, design, text, and graphics, are owned by Narthx and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Services without our written permission.

Content you create within the Services (meeting notes, task descriptions, request data) remains yours. You grant us a limited license to store, process, and display it solely to operate the Services.

By using the Services, you represent that:

• You have been granted access by an authorized tenant administrator
• You are at least 18 years of age
• Your use complies with all applicable laws and these Terms
• You will not use the Services to harm, harass, or deceive others

You may not:

• Access or attempt to access another tenant's data
• Use the Services for any unlawful purpose
• Upload malicious code, viruses, or disruptive content
• Attempt to reverse-engineer or extract proprietary source code
• Use automated tools to scrape or overload the Services
• Share your credentials with unauthorized users
• Use the Services in a way that violates the privacy of others

You are responsible for all content you submit through the Services, including meeting notes, task descriptions, approval requests, and comments. You represent that you have the right to submit such content and that it does not violate the rights of any third party or any applicable law.

We do not review user-generated content in real time. We reserve the right to remove content that violates these Terms upon notification or discovery.

By submitting content to the Services, you grant Narthx a non-exclusive, worldwide, royalty-free license to store, process, and display that content solely as necessary to provide and improve the Services. This license terminates when you delete the content or terminate your account.

We reserve the right to:

• Monitor the Services for policy violations
• Suspend or terminate access for any user or tenant that violates these Terms
• Remove content that is illegal, harmful, or in violation of these Terms
• Apply usage limits to protect service availability for all tenants

These Terms remain in effect while you use the Services. Your access may be terminated by your tenant administrator, or by us if you violate these Terms. Upon termination, your right to use the Services ceases immediately.

Tenant administrators may request a full data export prior to termination. We will retain data for 30 days post-termination before deletion, unless a shorter period is required by law.

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email to active users. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Travis County, Texas.

Before initiating any legal proceeding, you agree to first contact us at legal@narthx.io and attempt to resolve the dispute informally for at least 30 days. This requirement does not apply to disputes involving intellectual property infringement.

We may correct errors, inaccuracies, or omissions in the Services or these Terms at any time without prior notice. This does not limit our obligation to provide notice of material changes to these Terms.

The services are provided "as is" and "as available."

To the fullest extent permitted by law, Narthx disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by applicable law, Narthx and its officers, directors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless Narthx and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such collection and use as described in the Privacy Policy.

By using the Services, you consent to receive electronic communications from us, including transactional emails related to your use of the Services (meeting recaps, approval notifications, weekly digests). You may opt out of non-essential communications by contacting your tenant administrator or emailing us.
